About the Role:
As Associate Corporate Counsel, under the guidance and direction of the Vice President, Legal, you will provide legal support to the company and assist the AMS Field Legal team in a wide range of transactional legal matters. The ideal candidate must possess strong negotiation, writing, and communication skills and also be able to deal with multiple tasks at the same time.
The candidate must have excellent business judgment and strategic thinking and the ability to work independently as well as collaboratively in a collegial, fast-paced team environment. Sitecore’s business spans the globe and requires an experienced, dynamic and team-oriented legal counsel.
What You’ll Do:
- Support certain sales areas in the Americas with the drafting and negotiation of SaaS and Software Master Agreements, Cloud Addendums, Amendments, Renewals, Order Forms and ancillary sales contracts.
- Support Global Procurement with the drafting and negotiation of Services Agreements,
- Sponsorship Agreements, Consulting Agreements and other ancillary vendor contracts
- Assist with Technology Partnership contracts and relationships
- Collaborate with Finance and License Compliance teams on disputes, settlements and demand for payment letters
- Consult with Data Protection team on Data Processing Addendum issues and other privacy matters
- Collaborate with Deal Desk team and other Revenue Ops teams to answer deal questions, review final contracts for signature and provide general legal guidance
- Support compliance with Navex RiskRate reviews of prospective customers and partners
- Support other general legal team matters and special projects from time to time
What You Need to Succeed:
- 2+ years of relevant law firm and/or in-house experience with a focus on business transactions
- Strong verbal and analytical skills, along with excellent contract drafting and negotiation skills
- Demonstrate a customer oriented and a positive, ‘can do’ attitude, balanced with honesty, integrity, and trust-building behaviors in all dealings
- Be team-oriented, and comfortable working with sales, procurement and marketing teams
- Ability to interact comfortably with company senior management and work with opposing counsel
- Solid business acumen and the ability to manage several simultaneous projects under deadlines and end of quarter pressure
- A strong attention to details and a strategic awareness
- Exceptional interpersonal skills and a commitment to professionalism and collegiality
- Adventurous with willingness to travel occasionally
